Key Points

  • 01US upstream oil and gas M&A reached $12.6 billion in Q3 2026
  • 02Third-quarter deal value rose from $11.5 billion in the prior quarter
  • 03Private-to-public deals made up about two-thirds of Q3 value
  • 04Year-to-date US upstream deal value stands at $80.5 billion

Q3 upstream deal value rises to $12.6 billion

US upstream oil and gas mergers and acquisitions reached a deal value of $12.6 billion in the third quarter of 2026, increasing from $11.5 billion in the preceding quarter. Enverus said the quarter was stable, supported by exits from private equity funds, and that activity was followed by a sharp acceleration in October.

Enverus Intelligence Research reported that total US upstream deal value for 2026 has reached $80.5 billion so far, already exceeding the total for the previous year.

October surge led by large corporate and asset deals

Deal activity accelerated in October, highlighted by EQT Corporation (EQT)’s agreement to acquire Range Resources for $13.8 billion. In the same period, Crescent Energy agreed to purchase a portion of Devon Energy (DVN)’s Eagle Ford assets for $4.2 billion. These transactions illustrate both large-scale corporate consolidation and targeted asset sales between publicly listed companies.

Enverus noted that October’s pick-up followed a third quarter in which private equity exits and private-to-public deals were prominent. The combination of corporate transactions and asset divestments has contributed to lifting year-to-date upstream deal value to $80.5 billion.

Drivers of ongoing consolidation and future deal flow

Enverus highlighted several factors supporting continued momentum in the US upstream M&A market. Enverus said high oil prices are helping sustain interest in transactions, and that remaining targets in the Permian Basin provide further opportunities for acquirers.

Principal analyst Andrew Dittmar said that diminishing strategic resource inventories are encouraging further corporate consolidation. The firm expects more sales of non-core assets as companies streamline their portfolios, along with ongoing consolidation among exploration and production companies listed on public markets. These trends suggest that the elevated level of upstream deal activity seen so far in 2026 may persist as firms pursue scale and optimization.

Key Takeaways

  • 01US upstream M&A activity has strengthened in 2026, with third-quarter value rising and year-to-date deals already surpassing last year’s total.
  • 02Private-to-public transactions and private equity exits are central to current deal flow, alongside major corporate acquisitions and asset divestments.
  • 03Structural drivers such as high oil prices, remaining Permian targets and shrinking strategic inventories are expected to sustain further consolidation and asset sales.
