Generac, Amazon sign up to $8bn supply pact

Generac Holdings (GNRC) and Amazon.com have entered into a long-term supply agreement under which Generac will provide backup generators to support Amazon’s data-center operations. The agreement was disclosed on September 16, 2026 through regulatory filings. It positions Generac as a key supplier of power equipment for Amazon’s expanding infrastructure needs.

The contract identifies approximately $2.4 billion of initial generator deliveries scheduled across 2027 and 2028. These deliveries form the first major phase of the relationship and represent firm business over the next two years once the period begins. The generators are intended to backstop Amazon’s data centers, supporting continuity of operations.

Beyond the initial tranche, the agreement includes an aggregate ceiling described as up to $8 billion in payments over the life of the contract. This figure represents the maximum potential value under the arrangement and does not constitute a committed order of that amount. It signals room for Amazon to expand purchases of Generac equipment over time if demand warrants.

The structure gives both parties flexibility: Generac gains visibility into a large potential opportunity, while Amazon retains discretion within the stated ceiling. The up to $8 billion cap frames the scale that the partnership could reach as Amazon’s data-center footprint evolves.

In connection with the supply agreement, Generac issued a warrant to an Amazon subsidiary that grants the right to acquire up to 1,693,745 shares of Generac common stock. Vesting of the warrant is tied to cumulative gross payments Amazon makes to Generac under the supply arrangement. This links the equity participation directly to the commercial progress of the contract.

A portion of the warrant vested immediately upon signing, covering 307,954 shares. The warrant carries an exercise price reported at roughly $200.9266 per share and is exercisable on or before September 16, 2033. The instrument includes anti-dilution adjustments and registration-rights provisions for the underlying shares.

If the entire warrant were exercised at the stated exercise price, the economic value of the full share allotment has been reported at roughly $340 million. This potential equity stake underscores the strategic nature of the relationship, aligning financial incentives as the supply agreement scales toward its contract ceiling.
