The campus is being engineered for more than one gigawatt of capacity, targeting next-generation hyperscale compute, including cloud and artificial intelligence workloads.
Under the arrangement, New Era, a Nasdaq-listed developer and operator of digital infrastructure and integrated power assets in the Permian Basin, and Primary Digital will co-sponsor the project. Both parties will contribute institutional expertise in energy, data center development and asset management as they advance the campus from conception through commercial operation.
TCDC is designed with both grid-connected and behind-the-meter power generation, giving the project flexible and potentially expandable power options. The developers describe the site as having significant future expansion potential, aligned with forecast growth in hyperscale and AI-related computing demand.
Primary Digital’s Capital and Hyperscale Track Record
Primary Digital, an independent data center investment platform, will act as lead capital partner and co-sponsor on TCDC. The firm plans to leverage its relationships with global cloud and AI companies to secure a hyperscaler anchor tenant for the initial project phase, according to its announcement.
Primary Digital will also structure and arrange financing for the Odessa-area campus, which requires complex capital solutions given its planned scale. The company said its capital-markets expertise and prior experience delivering mission-critical facilities provide a roadmap for completing the campus on time and within budget, systematically reducing project risk.
The TCDC agreement builds on Primary Digital’s broader strategy and recent activity, including its flagship role in the Stargate program. That initiative is a $15 billion joint venture with Crusoe Energy Systems and Blue Owl Capital Corporation to develop a 1.2-gigawatt AI-focused data center campus in Abilene, Texas, which has secured more than $11.6 billion in combined debt and equity financing.
New Era Consolidates Ownership of TCDC
Separately, New Era announced it has completed the acquisition of Sharon AI’s 50% ownership interest in Texas Critical Data Centers LLC, a transaction originally disclosed in December 2025. As a result, Sharon AI will have no ongoing ownership stake, governance rights or control provisions in the project.
New Era’s chief executive, E. Will Gray II, said Sharon AI’s involvement helped advance TCDC through its development phase and that the buyout provides a "constructive outcome" for both sides. He characterized the change in ownership as positioning TCDC for its next stage, as the project shifts from planning to execution.
Legal advisers on the transaction included Vinson & Elkins L.L.P. for New Era and Sheppard, Mullin, Richter & Hampton LLP for Sharon AI. New Era indicated it remains on track with prior guidance to sign a hyperscale anchor tenant and views the TCDC development as a potential source of long-term value for its shareholders and project stakeholders.
Strategic Context in Texas’ AI Data Center Build‑Out
The TCDC venture adds another large-scale AI and cloud-focused campus to West Texas, alongside the Abilene development backed by Primary Digital and partners. Both projects are framed as responses to the “next wave” of hyperscale and AI infrastructure, which the companies say is gravitating to locations where power is abundant, flexible and economically advantaged.
