Vessel sale pact between Diana and Star Bulk ends

Diana Shipping Inc. and Star Bulk Carriers Corp. have mutually agreed to terminate a vessel sale and purchase agreement that covered 16 vessels owned by Genco Shipping & Trading Limited (GNK). The decision follows a request from Star Bulk to withdraw from the agreement, leading both parties to formally end the planned transaction.

The vessel sale had been linked to Diana’s proposed acquisition of Genco, under which Star Bulk was to acquire the 16 Genco vessels. With the termination, that element of the broader transaction structure is no longer in place, while discussions regarding Genco’s ownership continue around Diana’s separate takeover proposal.

Diana’s takeover offer for Genco remains in place

Diana reiterated that its offer to acquire all outstanding shares of Genco Shipping & Trading Limited (GNK) remains on the table. The proposal consists of $24.80 in cash per Genco share, adjusted for Genco’s recently declared $0.80 dividend, plus one Diana share per Genco share.

The Diana share component is valued at $2.54, based on Diana’s 30‑day volume‑weighted average price as of June 16, 2026. This cash‑and‑stock structure defines the total consideration that Diana is currently offering to Genco shareholders under its ongoing acquisition proposal.

Financing commitments and transaction certainty

Diana stated that the termination of the vessel sale and purchase agreement has no impact on its financing for the proposed acquisition of Genco. The company reported that it has fully committed financing of $1.411 billion in place to support the transaction.

The financing is provided by six international banks and carries no financing condition for the proposed Genco deal, according to Diana. The company highlighted this structure in conjunction with restating that its offer for Genco remains active despite the end of the vessel sale arrangement with Star Bulk.

In public comments accompanying the announcement, Diana CEO Semiramis Paliou said that the termination of the vessel sale and purchase agreement removes one of Genco’s concerns. She also reaffirmed both the existence of the fully committed financing and the terms of the outstanding offer to Genco shareholders.

Star Bulk CEO Petros Pappas stated that Star Bulk requested withdrawal from the vessel sale agreement because of the Genco Board’s unwillingness to negotiate.
