Frasers Group takes control of Harvey Nichols

Frasers Group has acquired Harvey Nichols from FTI Consulting (FCN), which had been appointed as administrator to the luxury department store chain. The transaction brings the Knightsbridge London flagship and a number of regional UK stores under Frasers’ ownership, marking a significant expansion of its presence in the premium retail sector.

Harvey Nichols had been placed into administration after failing to return to sustained profitability, prompting a sale process. The purchase price has not been disclosed, but the deal ensures continuity of trading for the core UK business while transferring ownership to Frasers.

Scope of the acquisition

The transaction covers the Knightsbridge flagship and stores in Manchester, Birmingham, Bristol, Leeds and Edinburgh. Alongside the physical estate, Frasers has also taken over Harvey Nichols’ online business and existing inventory, giving it control of the brand’s multichannel operations.

Franchise agreements for overseas stores are set to continue under existing licensing arrangements. At the time of the deal, discussions over the future of the Dublin Harvey Nichols store were still ongoing, leaving that part of the estate outside the immediate scope of the completed transaction.

Assets excluded from the deal

The Harvey Nichols restaurant at the Oxo Tower in London is not part of the acquisition. That asset has been sold separately to another buyer and will not be integrated into Frasers’ plans for the department store chain.

By separating the Oxo Tower restaurant from the main retail business, the transaction focuses on Harvey Nichols’ core department store and online operations, while allowing the restaurant to follow a different ownership path.

Restructuring plans and jobs impact

Frasers has signalled that significant restructuring and integration work will follow the acquisition. The group plans a review and rationalisation of Harvey Nichols’ store portfolio, organisational structure, operating model and cost base in an effort to create a sustainable business under its ownership.

Frasers’ chief executive Michael Murray described Harvey Nichols as an iconic British institution with significant potential, while warning that a turnaround will require tough choices. Administrators and Frasers stated that the deal secures more than 1,000 jobs, providing some stability for employees as the new owner prepares its restructuring programme.
