Genesis moves to acquire Vault Minerals

Genesis Minerals has proposed a cash-and-scrip scheme of arrangement to acquire Vault Minerals in a transaction valuing Vault at about A$5.6 billion. The proposal would be executed through a mix of new Genesis shares and cash, positioning the deal as a major consolidation move within the gold industry.

Under the terms of the offer, Vault shareholders would receive 0.7629 new Genesis shares plus A$0.475 in cash for each Vault share held. This consideration implies a value of approximately A$5.2741 per Vault share, aligning the deal size with the overall A$5.6 billion valuation placed on Vault.

The transaction structure is designed to give Vault shareholders continued exposure to the combined business through the scrip component, while also providing an immediate cash element. Implementation is intended via a court-approved scheme, subject to customary conditions and approvals.

Scale and financial profile of the combined group

If completed, the combination of Genesis and Vault would create a company with a pro-forma market capitalisation of about A$12.6 billion. The enlarged group is expected to deliver annual gold production in the range of roughly 600,000 to 700,000 ounces.

The combined entity would control mineral resources of 33.6 million ounces and ore reserves of 9.4 million ounces. This scale of resources and reserves would underpin a substantial production base and provide a long mine-life profile across the portfolio.

On a financial basis, the pro-forma group would hold about A$611 million in net cash and total liquidity of around A$1.4 billion. This balance sheet position is expected to support development plans, exploration, and potential future growth initiatives across its operations.

End of the takeover contest with Regis Resources

Vault has informed the market that it intends to terminate its earlier agreement with Regis Resources following the receipt of Genesis’s proposal. Regis chose not to lift its matching bid, bringing the competitive process for control of Vault to a close and clearing the path for Genesis’s offer.

The termination of Vault’s prior arrangement with Regis is linked in reporting to a break fee of about A$50.7 million associated with that earlier deal. The cessation of the contest removes a key uncertainty around the final acquirer of Vault’s asset base.

Gold market backdrop and capital-markets activity

The proposed Genesis–Vault transaction is taking place against a backdrop of volatility in precious metals prices. Gold recently fell, with spot levels reported around the $4,000 per ounce area, as markets adjusted to expectations that U.S. interest rates could remain elevated for longer.

Market commentary has pointed to renewed geopolitical tensions and a rise in oil prices as factors influencing inflation expectations and monetary-policy outlooks, weighing on zero-yielding assets such as gold. These macro developments form part of the broader setting in which gold producers are consolidating.

Cadillac Mines has filed a preliminary prospectus in Canada for a proposed initial public offering, having obtained a receipt for its preliminary base PREP prospectus, though the number of shares and offering price have not yet been determined.
