GeoPark (GPRK) Limited has released the results of its cash tender offer for any and all of its outstanding 8.750% senior notes due 2030. As of the expiration of the offer at 5:00 p.m. New York City time on October 22, 2026, $266.832 million in aggregate principal amount of these notes had been validly tendered and not withdrawn.

The 8.750% senior notes due 2030 had a total outstanding principal amount of $441.679 million prior to the tender offer. Following the expected settlement, $174.847 million in aggregate principal amount of the notes will remain outstanding.

Payment terms and settlement details

For notes accepted for purchase, GeoPark will pay $1,027.50 per $1,000 of outstanding principal amount. In addition to this consideration, holders whose notes are purchased will receive accrued and unpaid interest from the last interest payment date up to, but not including, the settlement date.

Settlement of the tendered notes is expected to occur on or about October 28, 2026. All notes validly tendered and not validly withdrawn by the expiration time, if accepted for purchase, are to be paid in full on the settlement date in accordance with the offer to purchase dated October 16, 2026.
