Key Points

  • 01Meta (META) plans to raise about $35 billion through concurrent equity offerings
  • 02About $22.5 billion will come from a Class A common stock offering via forward sales
  • 03Around $12.5 billion is targeted from Series A mandatory convertible preferred shares
  • 04NVIDIA (NVDA), AMD (AMD) and Broadcom (AVGO) have expressed interest in buying up to $5 billion

Meta unveils $35 billion capital raise

Meta Platforms has launched concurrent underwritten public offerings of common stock and Series A mandatory convertible preferred stock, aiming to raise about $35 billion. The capital raise is intended to help finance the company’s expansion in artificial intelligence and related infrastructure.

The plan includes an offering of approximately $22.5 billion in Class A common stock that will be issued through forward sale agreements. In parallel, Meta intends to raise about $12.5 billion via an offering of Series A mandatory convertible preferred stock, structured as depositary shares.

Structure of common stock offering

The Class A common stock component of the transaction is designed around forward sale agreements. Under this structure, Meta will deliver Class A shares at a future date in exchange for cash proceeds, with the total offering size targeted at about $22.5 billion.

The offering also includes options for additional amounts of Class A common stock, which could increase total proceeds if exercised. These mechanisms provide flexibility to expand the capital raise depending on demand for the shares.

Details of preferred stock issuance

Alongside the common stock, Meta is offering Series A mandatory convertible preferred stock in the form of depositary shares. The company intends to issue up to 250 million of these Series A depositary shares as part of the approximately $12.5 billion preferred offering.

These preferred shares are structured to convert into Meta equity at a future date, adding a delayed source of dilution to the company’s share base. The settlement date for the preferred conversion has been specified as August 15, 2029.

Additional issuance plans and investor interest

Beyond the current offerings, Meta has outlined plans for a potential at-the-market program involving up to $60 billion of Class C stock starting in 2027. This prospective program would create an additional pathway for Meta to issue equity over time.

Interest in the current offerings includes indications from NVIDIA (NVDA), AMD (AMD) and Broadcom (AVGO), which have each expressed interest in purchasing up to $5 billion of Meta stock. Such interest reflects potential strategic and financial alignment around Meta’s ongoing investment in AI infrastructure.

Key Takeaways

  • 01Meta (META) is executing a sizable, multi-part equity raise that combines common stock and mandatory convertible preferred securities.
  • 02The use of forward sale agreements and depositary shares tailors the timing and form of dilution across common and preferred equity.
  • 03Planned future issuance via a Class C at-the-market program suggests Meta (META) is preparing for ongoing capital needs beyond the current $35 billion raise.
