RBI moves to tighten oversight of large overseas deals

The Reserve Bank of India has stepped up scrutiny of substantial overseas direct investments by Indian companies by circulating a standardized checklist to major banks. The framework, issued last week, focuses on large outward investment transactions that can have a significant impact on capital flows.

The new checklist specifically targets overseas direct investments exceeding $1 billion, as well as transactions that go beyond the regulatory cap of four times an investing company’s net worth. By flagging these large and highly leveraged deals, the central bank is seeking closer oversight of cross-border capital movements.

Scope and thresholds of the enhanced checks

Under the guidelines, any overseas direct investment above the $1 billion threshold will require banks to submit detailed information and conduct deeper analysis before proceeding. Transactions where the size of the investment surpasses four times the net worth of the Indian investing company are also brought under the same heightened review.

These thresholds are designed to capture both very large deals in absolute terms and those that may be material relative to the investor’s balance sheet. The combination ensures that banks apply additional scrutiny to investments that could pose elevated financial or macroeconomic risk.

Expanded due diligence and valuation checks

The RBI checklist requires banks to independently assess the valuation of overseas assets being acquired or invested in. This includes examining premiums paid over benchmark valuations and reviewing exchange ratios in share-swap transactions to ensure that pricing is reasonable.

Banks are also directed to evaluate the quality of earnings of the investing company, its prior experience with overseas direct investments, and its existing overseas commitments. An assessment of the company’s ability to withstand adverse events is mandated, strengthening the prudential review of outbound deals.

Objective: contain capital outflows and support the rupee

The increased scrutiny is aimed at preventing large overseas direct investment outflows that could add to capital pressures. By tightening supervision of sizable transactions, the central bank seeks to better manage capital movements at a time when the rupee is facing pressure.

Importantly, no new formal controls or bans on overseas investments have been introduced. Instead, the measures operate through banks’ due diligence and reporting obligations, reflecting a supervisory approach intended to balance outward investment activity with currency and financial stability considerations.

Key Takeaways

  • 01RBI is relying on supervisory tools rather than new legal controls to influence the pace and scale of large overseas investments.
  • 02Banks now play a more central role in scrutinizing high-value outbound deals through enhanced valuation and risk assessments.
  • 03The focus on both absolute deal size and leverage relative to net worth signals concern over transactions that could strain corporate and external balance sheets.
