SEBI introduces margin relief linked to early pay-in

The Securities and Exchange Board of India has approved a framework that offers margin relief on cash-market trades backed by early pay-in of securities. Clearing corporations will not collect margins from trading and clearing members on clients’ subsequent buy or sell positions in the cash segment, up to the value of securities for which early pay-in has been successfully accepted. The framework is designed for situations where a client has a net sell obligation in a settlement and the early pay-in request for the sold securities has been accepted by the clearing corporation.

Under this arrangement, investors who deliver shares early through the EPI mechanism can use the value of those shares to meet margin requirements on subsequent positions taken on the same trading day. This effectively allows the value of the delivered securities to support additional trades in the cash segment without requiring fresh margins up to the accepted EPI value.

Operational framework and calculation of EPI value

Clearing corporations are required to calculate the available EPI value on the trade date as the lower of the value of securities delivered through early pay-in and the value of the securities sold. When a client takes a subsequent position using the EPI benefit on the same day, the clearing corporation will assess the client’s available margin after reducing the available EPI value. Where the margin relief does not fully cover the exposure, normal margin requirements and risk controls will continue to apply.

The circular specifies that clearing corporations must, in real time, refrain from collecting margin from trading members and clearing members on eligible subsequent buy or sell positions up to the accepted EPI value. This reduces the need for brokers to fund margins for such subsequent trades out of their own proprietary resources, while maintaining standard safeguards outside the EPI-covered amount.

Safeguards, exclusions and risk controls

If a client squares off or reverses the sale position in securities for which the EPI benefit has been availed, the EPI value will be removed from the margin calculation. Any resulting shortfall in the client’s margin will be blocked from the proprietary collateral of the trading member or clearing member. This condition is intended to ensure that margin coverage remains adequate if the underlying sale that generated the EPI benefit is no longer in place.

The framework explicitly excludes trade-for-trade securities, where transactions are settled on a gross basis. For these securities, the specified condition on blocking shortfalls from members’ proprietary collateral does not apply, and existing settlement practices continue. Clearing corporations are required to update their rules and systems and make the circular available on their websites.

Implementation timeline and member obligations

The provisions of the new EPI-based margin framework will come into force on 22 February 2027.

Trading members have been directed to ensure that their risk management systems allow clients to square off positions backed by early pay-in benefits or to take fresh positions only when the requisite client margins are available. This obligation reinforces that, even with margin relief up to the EPI value, responsibility for maintaining adequate client-level margins remains with the trading member.

Background on early pay-in usage for margins

Early pay-in involves delivering sold shares to the clearing corporation before the normal settlement deadline. Existing guidelines already allow the value of shares delivered via EPI to be considered toward margin requirements for the initial sale transaction and related positions. The new framework extends this by formalising how the accepted EPI value can also be applied to margin requirements on subsequent cash-segment trades undertaken on the same day, within the defined conditions.

Key Takeaways

  • 01SEBI’s new framework links margin relief directly to accepted early pay-in value, changing how same-day sale proceeds can support further trades.
  • 02Risk controls remain central, with any margin shortfall after EPI removal blocked from the trading or clearing member’s proprietary collateral.
  • 03The exclusion of trade-for-trade securities and the deferred implementation date highlight a phased and selective approach to easing cash-market margin norms.
