SK Hynix prepares new shareholder return plan

SK Hynix plans to announce additional measures to boost shareholder returns when it reports third-quarter earnings on Oct. 28, 2026. The company has stated that these steps will follow a board resolution and will be presented together with its results on Wednesday.

In a regulatory filing dated Oct. 26, SK Hynix said it is reviewing various shareholder return measures to enhance shareholder value, but emphasized that nothing has been confirmed to date. The filing was made as a clarification of an unconfirmed report and underscored that final decisions will be disclosed at the upcoming earnings release.

Market focus on possible special dividend from Kioxia gains

The DongA Ilbo reported SK Hynix is considering a special dividend of about 16 trillion won, or roughly $12.1 billion, funded by gains from selling its stake in Japanese memory chipmaker Kioxia. Net profit excluding principal from the Kioxia stake sale is estimated at about 20 trillion won.

SK Hynix has denied that a specific plan to return 16 trillion won as a special dividend has been finalized, reiterating that it is still reviewing options. The company has not publicly disclosed detailed terms of the Kioxia stake sale, which was completed earlier this year, though analysts estimate that it recognized significant cumulative investment gains.

Recent and planned shareholder return actions

SK Hynix has already completed a large share buyback and retirement program worth 40 trillion won. The company had originally planned to carry out this buyback and retirement by Nov. 19 but finished the process early on Oct. 21.

Total shareholder returns last year amounted to 14.3 trillion won, including 2.1 trillion won in dividends and 12.2 trillion won from retiring treasury shares. Since August, SK Hynix has bought back treasury shares worth 40 trillion won and plans to cancel them in the near future, adding to its capital return profile.

Longer-term shareholder return policy and investor pressure

In August, SK Hynix pledged to return at least 50 percent of its cumulative free cash flow generated between 2025 and 2027 to shareholders. As part of this commitment, it said it would consider special dividends as well as additional share buybacks and cancellations, with more details on scale and methods to be disclosed during the third-quarter earnings call.

Analysts expect SK Hynix to have substantial funds available for shareholder returns based on its free cash flow, and some anticipate that buybacks and cancellations could play a larger role than regular dividends. The upcoming announcement comes amid growing pressure on SK Hynix and fellow Nvidia supplier Samsung Electronics to return more excess cash after record profits supported by strong demand for AI memory chips.

Key Takeaways

  • 01The core near-term event is SK Hynix (SKHY)’s Oct. 28 earnings release, when concrete shareholder return measures are scheduled to be unveiled after a board decision.
  • 02While a large Kioxia-funded special dividend has been widely discussed, SK Hynix formally maintains that no specific payout structure or amount is finalized yet.
  • 03Recent large-scale buybacks, prior-year payouts and a 50 percent free cash flow return pledge indicate an ongoing, multi-year capital return framework rather than a one-off move.
