South Africa unveils new offshore fund regime

Key Points

  • 01New SFC framework lets ring-fenced mandates hold 100% foreign assets
  • 0245% offshore cap remains at institutional level despite new dispensation
  • 03Reform targets managing up to 10 trillion rand in offshore assets from SA
  • 04Draft SFC rules are open for public comment until November 30

South Africa outlines new Synthetic Financial Centre regime

South Africa has moved forward with a draft framework for a Synthetic Financial Centre that would allow qualifying funds to hold 100% of their portfolios in foreign assets under ring-fenced mandates. The reform carves out an exemption from the existing 45% offshore investment cap for these specific vehicles, enabling fully global portfolios to be managed from a South African base.

The change forms part of a broader overhaul of decades-old exchange controls and is presented as the first phase of a plan to position the country as a more competitive international financial and investment hub. The draft framework was published on Wednesday and is now being presented to investors and industry stakeholders.

Details of the 100% foreign asset dispensation

Under the proposed rules, licensed asset managers, banks, insurers and private equity firms will be able to manage global portfolios in any currency from within South Africa, as long as they operate within registered SFC mandates. Once capital is inside such a mandate, fund managers can invest it entirely offshore without being constrained by the 45% limit at portfolio level.

The 45% prudential foreign investment limit will still apply when an institution commits capital to an SFC vehicle, and the originating institution must continue to count the investment toward its own foreign exposure cap. South African assets or exposures held in an SFC portfolio will retain their domestic classification for exchange control, prudential, regulatory and reporting purposes.

The framework is also designed to accommodate nonrand-denominated products, enabling local managers to administer and trade global equities, emerging market debt and offshore funds without establishing management companies abroad. Foreign financial services providers may apply to the central bank’s financial surveillance department to participate in the SFC dispensation.

A bid to repatriate offshore management and deepen markets

Close to 5 trillion rand in South African portfolio assets is currently held offshore, much of it managed through overseas centres due to previous regulatory constraints. The Johannesburg Stock Exchange links the SFC to a plan that could repatriate up to 10 trillion rand in offshore assets over time and estimates that the new framework could attract investment of that magnitude.

Officials describe the reform as aimed at deepening financial markets, enhancing the competitiveness of the financial sector and supporting skills development. The SFC is expected to help reverse the long-term leakage of investment activity offshore through targeted repatriation rather than tighter capital controls, using a digital-first, regulation-enabled model rather than a physical financial centre.

Next steps and potential future phases

The draft SFC framework is open for public comment until November 30, giving industry participants time to assess its operational and regulatory implications. The first phase focuses on enabling approved institutions to manage qualifying foreign portfolios and related foreign-currency activity from within South Africa.

Future phases may consider measures such as tax alignment to support the new regime and the possibility of allowing foreign-currency listings on South African exchanges. Authorities have indicated that, despite the new flexibility for ring-fenced mandates, the 45% prudential foreign limit is expected to remain a long-term feature of the capital-flow framework.

Key Takeaways

  • 01The SFC draft creates a ring-fenced channel for fully offshore portfolios while leaving core prudential limits intact at the institutional level.
  • 02Regulators are using regulatory flexibility rather than physical infrastructure to position South Africa as a base for managing global, nonrand assets.
  • 03If implemented as envisaged, the framework could shift a substantial volume of offshore portfolio management and related skills back to South Africa over time.
