Tilray to Acquire HelloMD’s Canada Assets

Tilray Brands, Inc. (TLRY) has entered into an agreement to acquire HelloMD Corporation, focusing on HelloMD’s Canadian medical cannabis assets. The agreement follows Tilray (TLRY) being named the successful bidder in HelloMD’s formal sale process. Completion of the transaction is subject to formal court approval on June 29, 2026. The companies have not disclosed the financial terms of the planned acquisition.

The deal centers on HelloMD’s role as a digital healthcare and patient engagement platform in the medical cannabis space. By targeting the Canadian assets, Tilray is aligning the acquisition with its existing medical operations in Canada. The transaction structure is described as an asset purchase, rather than a share acquisition. Both parties position the agreement as a step within an organized, court-supervised sale process.

Tilray states that acquiring HelloMD’s assets will expand its direct-to-patient capabilities in the Canadian medical cannabis market. The company aims to use HelloMD’s infrastructure to help build a fully vertically integrated medical cannabis framework in Canada. This framework is intended to connect cultivation, clinical expertise, practitioner support, product access, and fulfillment within a single ecosystem.

HelloMD’s digital platform has supported hundreds of thousands of patients through telehealth consultations, educational resources, and personalized medical cannabis guidance. The integration is expected to enhance clinician support and education, as well as improve the overall patient experience with medical cannabis services.
