Vertex to buy Crinetics for $10 billion

Vertex Pharmaceuticals agreed to acquire Crinetics Pharmaceuticals in an all-cash transaction valuing Crinetics’ equity at approximately $10.0 billion. Under the terms of the agreement, Crinetics shareholders will receive $85.00 per share in cash. The agreed price represents a 102% premium to where Crinetics shares closed on the prior trading day, highlighting the strategic value Vertex is placing on the target’s assets.

The transaction has been approved by the boards of directors of both companies. It is expected to close in the third quarter of 2026, subject to customary closing conditions, including regulatory approvals and approval by Crinetics shareholders. Until closing, the companies will continue to operate independently.

The acquisition is designed to expand Vertex’s presence in endocrinology and rare diseases. Crinetics brings a portfolio centered on hormone-related conditions, including a commercial therapy and a late-stage development candidate. This focus complements Vertex’s existing rare-disease strategy by adding new therapeutic areas in endocrinology.

A key asset in the deal is PALSONIFY (paltusotine), Crinetics’ commercial drug. PALSONIFY is part of Crinetics’ effort to address acromegaly and other hormone disorders. By acquiring Crinetics, Vertex will gain commercial infrastructure and expertise in these endocrine indications.

The pipeline is another driver of the transaction. Crinetics’ atumelnant, an oral ACTH-receptor antagonist, is in Phase 3 development for congenital adrenal hyperplasia. Bringing this late-stage asset into Vertex’s portfolio provides additional potential for future growth in rare endocrine disorders.

Vertex plans to finance the acquisition with a mix of cash on hand and new debt. To support the transaction, the company has secured $4.5 billion of fully committed bridge financing from Bank of America, N.A. and Morgan Stanley Senior Funding, Inc. This financing is intended to provide funding certainty as the deal progresses through the regulatory and shareholder approval process.

Investors reacted strongly to the announcement. Following the disclosure of the $85.00 per share cash offer, Crinetics shares more than doubled in extended trading, rising roughly 100%. The sharp move reflects the substantial premium embedded in the transaction price and the market’s reassessment of Crinetics’ standalone valuation in light of the agreed buyout.

The parties expect the acquisition, once completed, to integrate Crinetics’ commercial and development programs into Vertex’s broader rare-disease platform. As regulatory reviews and shareholder votes proceed toward the anticipated third-quarter 2026 closing, both companies plan to provide further updates to investors and other stakeholders on the progress of the transaction.
