Adani Airport’s $1 billion equity raise
Adani Airport Holdings Limited (AAHL), a unit focused on airport assets, has entered into binding agreements to raise Rs 9,825 crore, equivalent to about USD 1 billion, in primary equity capital. The funds will be provided by a consortium of institutional investors comprising Alpha Wave Global, Premji Invest, Temasek and funds managed by BlackRock (BLK).
The transaction assigns AAHL a pre-money equity valuation of approximately USD 18 billion. The funding structure relies on new share issuance, meaning the capital will flow directly into the company rather than through secondary share sales.
Structure and timing of the transaction
The investment will be executed through a Share Subscription Agreement and a Shareholders’ Agreement between AAHL and the consortium. Under these agreements, the investors will subscribe to new equity in three separate tranches rather than in a single upfront payment.
The final tranche of the equity subscription is expected to be completed by July 2027, providing AAHL with a staggered capital inflow over the coming years. On completion of all three tranches, the investor group is expected to collectively hold approximately 5.54% of the company’s equity.
The transaction remains subject to customary conditions precedent, including receipt of applicable approvals. These conditions must be satisfied before each tranche can be completed, aligning the capital deployment with regulatory and contractual milestones.
Planned use of proceeds
AAHL has outlined a multi-pronged deployment plan for the fresh equity capital. A key priority is the expansion and modernisation of airport infrastructure across its portfolio, with the aim of enhancing capacity and upgrading facilities.
The company also intends to accelerate the development of integrated Adani Airport City ecosystems around its airports. These projects are designed to build out commercial and related real estate and services adjacent to airport operations, creating additional revenue streams.
Beyond core aeronautical activities, AAHL plans to scale passenger-facing and other non-aeronautical businesses using the new funds. This includes areas such as ground handling and other services that support both airlines and travellers, broadening the company’s earnings mix.
