  • 02Reports indicate Sturm’s resignation is effective 15 October 2026

Chairman Stephan Sturm to step down

Hugo Boss announced that Stephan Sturm, chairman of its supervisory board, has decided to step down from his role. The decision follows what the company described as constructive discussions in light of recent changes in its shareholder structure. These changes include a significant build-up of shares held by Frasers Group, which has become a major stakeholder in the fashion company.

Several reports state that Sturm’s resignation will take effect on 15 October 2026. Until a successor is appointed or until that date, he is expected to continue to serve as chairman of the supervisory board. Hugo Boss said it has immediately launched the process for a succession and will follow its corporate procedures to identify and install a replacement.

Frasers Group boosts influence at Hugo Boss

Frasers Group has increased its stake in Hugo Boss to roughly 47.9–48%, making it a key shareholder in the company. In connection with this enlarged position, Frasers has stated that it intends to increase its representation on the Hugo Boss supervisory board. This growing influence forms an important backdrop to the planned change in the board’s chairmanship.

Frasers has said it will seek to appoint Robert Palmer as an additional representative on the Hugo Boss supervisory board. Michael Murray, the chief executive of Frasers Group, already holds a seat on the board. The potential addition of Palmer would expand Frasers’ direct presence in the company’s top oversight body, aligning its board representation more closely with its ownership stake.

Supervisory board succession process

Hugo Boss stated that it has started the succession process to identify a new supervisory board chair. The company indicated that the transition will follow its established corporate governance procedures. Sturm is expected to remain in place during this period, providing continuity while the search and appointment process is carried out.

The combination of a pending leadership change and a major shareholder with an enlarged stake and board ambitions places Hugo Boss’s supervisory board at a turning point. The outcome of the succession process and the proposed expansion of Frasers’ representation will shape the future composition of the company’s oversight structure.

Key Takeaways

  • 01Hugo Boss is preparing for a planned transition in its supervisory board leadership while keeping Sturm in place during the search period.
  • 02Frasers Group’s near-48% stake and plans for another board seat signal a drive for greater influence over Hugo Boss governance.
  • 03The succession process and potential appointment of Robert Palmer will be central to how power is balanced on the Hugo Boss supervisory board going forward.
